Eventfuli and Eventfully, Inc., (“Eventfuli”) and its Website, www.eventfuli.com, aim to provide a convenient and informative service to both its Customers and Vendors by allowing Customers and Vendors to display content and connect. The Website provides an expedient experience to allow customers to locate and review event vendors whose services they may want to retain. By subscribing and utilizing the Website, you agree to be bound by and accept the following terms and conditions. You are advised to read them carefully. As used in this Agreement, “You” and “Your” refers to Vendors, Customers and Subscribers to the Website. “Website” or “Site” refers to www.eventfulli.com, owned by Eventfulli and Eventfully, Inc., its owners, directors and agents. In no event should Eventfully, Inc., be considered a party to any agreement entered into between Vendors, Customers and/or Subscribers through use of the Website.
General Information. All information found on the Website is intended for general informational purposes only and does not constitute a recommendation of any professional service or vendor. Eventfuli makes no warranty as to the quality of work performed by the subscribed Vendors or their credentials, or the identity or ability to pay of Customers or Subscribers and disclaims any responsibility for the abilities or competencies of the Vendors, Subscribers and Customers. Eventfuli has not independently investigated the credentials or services of the Vendors, Subscribers or Customers.
Copyright and Trademark Notice. All designs, text, graphics, pictures and arrangements on the Website are the copyright of Eventfully, Inc., except to the extent that copyrighted designs, text, graphics, and pictures are posted by Vendors and may constitute the intellectual property of Vendors. Neither Eventfuli, nor the Vendors are granting permission for the use or republication of copyrighted or proprietary content. Any use of copyrighted or proprietary material contained on this Website without prior written consent is strictly prohibited. All software used on the Website is the sole property of Eventfuli, or its software suppliers. You acknowledge that the site contains content and software that are protected by copyrights, trademarks, or other intellectual property rights, and that these rights are valid and may be protected in all forms, media and technologies which exist now or are developed in the future. You may use content of this site only for the informational purpose of connecting with Vendors and Customer and for no other purpose. No materials from this Website may be copied, reproduced, modified, republished, uploaded, posted, transmitted, or distributed in any form or by any means without the written permission of Eventfuli. All rights not expressly granted herein are reserved. Any unauthorized use of the materials appearing on this Website may violate copyright, trademark and other applicable laws and could result in criminal or civil penalties.
No Responsibility for Services. Eventfuli disclaims any responsibility for the accuracy, reliability, or completeness of any information, content, materials, services, products, merchandise, functionality or other information available on or accessible through the Website. Further, Eventfuli does not represent that the service will operate without interruption or error or its availability. Eventfuli disclaims any responsibility for technical failures or for unauthorized access of user transmissions or materials by third parties.
No Liability for Damages: Vendor/Customer Agreements. To the maximum extent permitted by applicable law, in no event shall Eventfuli, its company, its owners or agents be liable for any direct, indirect, special, punitive, incidental, exemplary or consequential damages, or any damages whatsoever, resulting in any way from Vendor’s, Subscriber’s or Customer’s use of the Website, retention of Vendor services or contract between Vendor and Subscriber/Customer, whether resulting from breach of contract, tort, product liability or otherwise. Eventfuli shall not be liable in any way to Vendor, Customer, Subscriber, or a third party, who may use the information or content or to whom the information or content may be furnished. By using the Website, You expressly acknowledge that Eventfuli has no obligation to vet either Vendors, Subscribers or Customers and that Eventfuli is not liable for the outcome of any agreement reached or services provided between Vendors, Subscribers and Customers. To the extent that this disclaimer of liability be found invalid, You expressly agree that Eventfuli shall be limited in liability to the fees You paid Eventfully, Inc., and in no event shall Eventfuli’s liability exceed the fees paid by You for use of the Website and the right to use the particular information and services.
No Liability for Use of Site. Under no circumstances shall Eventfuli, its company, its owners, agents or any other party involved in creating or distributing the Website and Eventfuli’s services be liable for any direct, indirect, incidental, special, or consequential damages for loss of profits, good will, use, data or other intangible losses, even if Eventfuli has been advised of the possibility of such damages, that result from the use of or inability to use the site, the procurement of services by Vendors, Subscribers or Customers by using the site, unauthorized access to or alteration of Your information, or copyrighted or trademarked material, statements or conduct of any third party on the site, the negligent or willful acts of Eventfuli, its directors, officers, employees and representatives, or any other matter relating to the site.
Consideration for Agreement. You acknowledge and agree that the limitations set forth above are fundamental elements of this agreement and the service would not be provided to You absent such limitations.
Customer and Vendor Supply of Accurate Information. In consideration of Your use of the Website, You agree to provide true, accurate, current and complete information as prompted by the registration form. You also agree to maintain and promptly update the registration information to keep it true, accurate, current and complete. You have sole responsibility for maintaining the confidentiality of your password and registration and are fully responsible for all activities that occur under Your password and registration. You agree to immediately notify Eventfuli of any unauthorized use of your password or account or any other breach of security. If You provide any information that is untrue, inaccurate, not current or incomplete, or we have reasonable grounds to suspect that such information is untrue, inaccurate, not current or incomplete, we may suspend or termination Your registration and refuse any and all current and future use of the site.
Payment Methods. You agree that you shall be billed monthly for Your Subscription by Eventfuli with the start of Your first one (1) month billing cycle commencing one the first day of Your Subscription. Eventfuli shall automatically charge Your credit card at the beginning of each one (1) month cycle for the full amount due and owing. You agree that You may cancel your Subscription at any time by sending written notice to Eventfuli through its Website and that you shall be responsible for the remainder of the billing cycle in which You gave notice of Your cancellation, unless such notice of cancellation is received by Eventfuli less than forty-eight (48) hours of the commencement of the next billing cycle, in which case Eventfuli shall have the right to charge Your credit card at the commencement of the next billing cycle. You must provide at least forty-eight (48) hours’ notice of Your cancellation prior to the commencement of the next billing cycle in order to avoid charges for that billing cycle. If You have chosen to pay by electronic funds transfers, You agree that You shall schedule the funds transfers in a manner so that Eventfuli shall receive the funds transfer prior to the beginning of each one (one) month billing cycle and You shall provide written notice of cancellation to Eventfuli no less than forty-eight (48) hours prior to the commencement of the next billing cycle in order to avoid being responsible for payment for the next billing cycle. In any event, should You fail to make payment by the end of the first day of the commencement of a billing cycle, Eventfuli shall have the ability to terminate Your account access and You expressly release Eventfuli from any and all liability related in any way to termination of Your account access due to non-payment.
Limitations of Use. You agree not to reproduce, duplicate, copy, sell, resell or exploit for any commercial purposes, any portion of the site, use of the site, or access to the site. You agree not to access the site by any means other than through the interface that is provided by us for use in accessing the site.
Authority of Eventfuli/Eventfully, Inc. Eventfuli may terminate Your access, or suspend Your access, to all or part of the site, without notice, for any conduct that we, in our sole discretion, believe is in violation of any applicable law or is harmful to the interests of another user, a third-party provider, merchant, sponsor, licensor, service provider, or us. Eventfuli may elect to electronically monitor areas of the site and may disclose any content, records, or electronic communication of any kind to satisfy any law, regulation, or government request, is such disclosure is necessary or appropriate to operate the site, or to protect our rights or property or the rights of the users, our directors, employees, representatives, sponsors, third part providers or licensors. We are not responsible for screening, policing, editing or monitoring such content. In no event does this provision create an obligation on the part of Eventfuli to monitor the conduct and activities of its users, Vendors, Subscribers or Customers.
Governing Law and Jurisdiction. The terms and conditions of this Agreement and Your use of the Website and its services shall be governed by the laws of the Commonwealth of Pennsylvania, with jurisdiction and venue resting in the Court of Common Pleas of York County, Pennsylvania.
